New Delhi: REC Limited on Friday said that it has incorporated two new wholly owned subsidiary companies namely: Ambernath Power Transmission Limited and Balsane Power Transmission Limited. The subsidiaries have been incorporated as part of its efforts to facilitate the development of intra-state transmission projects in Maharashtra .
According to REC's regulatory filing to the stock exchnages, both the newly incorporated entities are wholly owned subsidiaries of REC Power Development and Consultancy Limited (RECPDCL), which itself is a wholly owned subsidiary of REC Limited. Consequently, the two companies are also subsidiaries of REC Limited.
Ambernath Power Transmission Limited was incorporated on December 19 with an authorised and paid-up capital of Rs 5 lakh. The company has been set up following an order dated October 3, 2025, issued by the Government of Maharashtra, under which RECPDCL was appointed as the Bid Process Coordinator (BPC) for selection of a bidder for the establishment of the 400/220 kV GIS Ambernath transmission project in Thane district. After the selection of the successful bidder through the tariff-based competitive bidding (TBCB) process, the special purpose vehicle (SPV) will be transferred to the successful bidder along with all assets and liabilities .
Similarly, Balsane Power Transmission Limited was incorporated on December 18, 2025, with an authorised and paid-up capital of Rs 5 lakh. The company has been formed to implement the 765/400/220 kV AIS Balsane transmission project in Dhule district, pursuant to the same Government of Maharashtra order dated October 3, 2025, which nominated RECPDCL as the BPC. As with Ambernath Power Transmission Limited, the SPV will be transferred to the successful bidder after completion of the TBCB process .
REC clarified that both subsidiaries fall under the power sector and are related parties by virtue of their ownership structure. However, the promoter, promoter group and group companies of REC Limited do not have any interest in these entities beyond their shareholding. The incorporation of these SPVs is part of REC’s mandate to support state and central governments in the development of transmission infrastructure through transparent and competitive bidding mechanisms.
