REC Ltd incorporates new subsidiary for power transmission project in UP

According to company's regulatory filing, the new entity, Robertsganj Power Transmission Limited, has been incorporated on May 28, with an authorized and paid-up capital of Rs 5 lakh

New Delhi: State-run REC Limited has announced the incorporation of a new wholly owned subsidiary, Robertsganj Power Transmission Limited, through its arm REC Power Development and Consultancy Limited (RECPDCL). The move is aimed at facilitating the implementation of a key inter-state power transmission project in Sonbhadra district of Uttar Pradesh.

According to company's regulatory filing to the stock exchanges on Thursday, the new entity, Robertsganj Power Transmission Limited, was incorporated on May 28, with an authorized and paid-up capital of Rs 5 lakh. The company has been set up as part of a project allocated by the Ministry of Power through a gazette notification issued on March 19, 2025.

RECPDCL has been designated as the Bid Process Coordinator (BPC) for the development of a transmission system for evacuation of power from pumped storage projects in the region. Once a successful bidder is selected through the Tariff Based Competitive Bidding (TBCB) process, the ownership of Robertsganj Power Transmission Limited, including all its assets and liabilities, will be transferred to the winning bidder.

According to a regulatory filing made by REC, the incorporation does not involve any arm’s length transaction beyond the company’s standard shareholding structure, and the promoter group has no interest in the newly formed entity aside from its ownership.

REC Limited is a Maharatna Central Public Sector Enterprise under the Ministry of Power and is a leading financial institution in the power sector.
