New Delhi: Power Grid Corporation of India Limited (PGCIL), a Maharatna PSU under the Ministry of Power, has announced the appointment of two new Independent Directors namely — Shiv Tapasya Paswan and Rohit Vaswani, on its board. The appointments are effective from April 16. The appointments have been made following orders issued by the Ministry of Power.
Shiv Tapasya Paswan, a seasoned social welfare professional, and Rohit Vaswani, a distinguished chartered accountant and legal expert, will serve as Non-Official Directors (Independent Directors) for a term of one year or until further orders, whichever is earlier. Their appointments were approved by the Board of Directors of Power Grid through a circular resolution in accordance with Section 161(1) of the Companies Act, 2013 and Article 31A of the company’s Articles of Association.
Paswan, born in Chandauli, Uttar Pradesh, holds a BA in Political Science and has been actively involved in various social upliftment initiatives focused on marginalized communities. He brings extensive experience in social welfare to the board.
Vaswani, on the other hand, is a multi-disciplinary professional with over 27 years of experience in indirect and direct taxation, corporate tax, and legal advisory. He is a Chartered Accountant, Cost & Management Accountant, and Law Graduate, with additional qualifications including a Master’s degree in Law and a DISA certification from ICAI. He has held key roles such as Vice-President of the Sales Tax Bar Association and has been involved in various policy-making and professional bodies, including the Indirect Tax Committee of ICAI and advisory groups for accounting and taxation reforms.
Both directors are independent of the company’s management and are not related to any of the existing board members or key managerial personnel. Additionally, they are not debarred from holding the office of director by any regulatory authority.
